Bonds and Loans

Issuing bonds is one of the easiest ways to raise capital, as it offers the issuer a number of advantages. This instrument makes it possible:
  • to raise extensive funds for a long term at market rate;
  • to gain leeway and flexibility in determining the key attributes of the issue;
  • to reap the advantages of unsecured financing;
  • diversifying and expanding the creditor base/maintaining independence;
  • to form a public credit history;
  • to manage borrowing costs;
  • to promote the company’s public image on the Russian and international capital markets.
The Bank offers a full range of services aimed at arranging and placing bonded loans. At the client’s request, the company can execute and combine the duties of a consultant, bookrunner, arranger, payment agent and market maker.

The Bank’s basic package of services includes:

  1. Advisory
  • Structuring a market loan taking into account the issuer’s objectives;
  • Legal and investment consulting;
  • Research support for the project:
  • Providing daily overviews of the stock, fixed-income and currency markets, compiling research reports on the issuer and information memoranda.
  1. Bookrunning
  • Preparing the full package of documents required for state registration of the issue with the registration body or obtaining authorization for placement on stock exchanges;
  • Interacting with trade organizers, depositaries and other infrastructural institutions;
  • Supporting the process of state registration of issue documents;
  • Marketing and promotional activities
  • (IR and PR support).
  1. Underwriting
  • Securing bond placement by executing sale transactions to primary bondholders on the terms agreed with the client;
  • Forming underwriting syndicates;
  • Providing assistance in extending new limits and drawing in new trade participants.
  1. Acting as a payment agent
  • Performing payment functions in servicing bonds, settlement and payout of coupon yield, repayment of debt principal at the issuer’s instructions.
  1. Market maker
  • Helping form a secondary market by supporting bid/ask quotes, performing repo transactions, offering assistance in setting new limits and attracting new trade participants.
